A Cyprus private company must have at least one shareholder and one director. It must also appoint a company secretary and maintain a registered office in Cyprus. Shareholders and directors may be individuals or legal persons and do not generally need to be Cyprus nationals or residents.

International entrepreneurs commonly use a private company limited by shares, which has a separate legal identity and limits each shareholder’s liability to any unpaid amount on their shares.

The proposed name must be approved before incorporation. A Cyprus lawyer then prepares the

Memorandum and Articles of Association and the statutory forms filed with the Registrar of Companies. These include HE1, the lawyer’s statutory declaration; HE2, which records the registered office; and HE3, which identifies the first directors and secretary.

Each director, shareholder and beneficial owner will normally provide an apostilled copy of a valid passport, certified proof of address, a banker’s reference letter and a CV or résumé. Further evidence about the source of funds, source of wealth or proposed business may be requested.

The standard corporate income tax rate increased to 15% from 1 January 2026. Companies earning qualifying profits from qualifying intellectual property may benefit from the Cyprus IP Box regime, as its 80% deduction on qualifying profits can produce an effective tax rate as low as 3% (although eligibility depends on the intellectual property, research and development activity and related expenditure).

A company must also meet continuing compliance obligations such as filing for tax and maintaining proper accounting records. Other compliance obligations include filing its beneficial ownership information electronically with the Registrar within 90 days from the date of incorporation and thereafter annually. Alongside this, companies must submit audited financial statements to the Registrar of Companies within 18 months of incorporation.

VAT registration may be compulsory where taxable supplies in Cyprus exceed €15,600 or where purchases of goods from other EU Member States exceed €10,251.61. VAT obligations can also arise when services are supplied to VAT-registered businesses elsewhere in the EU.

Companies must issue the necessary invoices and receipts, retain accounting records and prepare audited financial statements through an approved auditor.

Personal residency and tax residency must be planned separately from company formation; share ownership does not automatically create a right to reside in Cyprus or make the shareholder a Cyprus tax resident.

Opening a corporate bank account is a separate process. Banks generally review the company’s activities, expected transactions, clients, suppliers, ownership and source of funds. Although the company itself can be incorporated remotely, a bank may request that the beneficial owner or authorised signatory attend in person during its due diligence review.
